End-User License Agreement (EULA)

Effective Date: 6/11/2025

This End-User License Agreement (the "Agreement") is a legal agreement between you (either an individual or a single entity) and Ellavation Labs regarding your use of Global Find & Replace (the "Software"). By installing or using the Software via the Contentful Marketplace, you agree to the terms and conditions of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. Grant of License
   Subject to your compliance with the terms and conditions of this Agreement, Ellavation Labs grants you a limited, non-exclusive, non-transferable license to use the Software solely within your Contentful environment for internal business purposes. This license allows you to:
   • Use the Software within the Contentful CMS platform to find and replace text content.
2. Restrictions
   You may not:
   • Distribute, sublicense, lease, or otherwise transfer the Software to any third party.
   • Use the Software in any unlawful manner or in breach of this Agreement.
   • Attempt to reverse-engineer, decompile, or otherwise interfere with the functionality of the Software.
3. Data Collection
   The Software does not collect or store your Contentful content. However, it does collect usage and error data, including metadata such as organization ID, user ID, and feature interactions, to improve performance and support. This data is securely transmitted to Ellavation Labs but is never shared with third parties.
4. Ownership
   The Software is licensed, not sold. All rights, title, and interest in and to the Software, including all updates and modifications, are the property of Ellavation Labs or its licensors. You do not acquire any ownership rights by using the Software.
5. Termination
   This Agreement will terminate automatically if you violate any of its terms. Upon termination, you must stop using the Software and uninstall it from your Contentful spaces. Ellavation Labs reserves the right to enforce any legal remedies for violations.
6. Disclaimer of Warranties
   The Software is provided "as is" and "as available," without warranties of any kind, express or implied. Ellavation Labs disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
   In no event shall Ellavation Labs be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of, inability to use, or any defects in the Software. Our total liability to you for any claim arising out of or relating to this Agreement or the Software shall not exceed the amount you paid, if any, for the Software.
8. Responsibility for Content Changes
   You acknowledge and agree that you are solely responsible for any and all modifications made to your content within Contentful through the use of the Software. This includes, but is not limited to, changes that are:
   • Intentional or unintentional,
   • Accurate or inaccurate,
   • Resulting from user input, configuration choices, or operational use, and
   • Resulting from errors, bugs, or other malfunctions of the Software.
   You further acknowledge that no software is free from defects or vulnerabilities, and that it is not possible to guarantee that the Software will function without interruption, error, or unintended outcomes in all scenarios or environments. By using the Software, you accept all risks associated with its operation and its impact on your content and systems. Ellavation Labs shall have no liability whatsoever for any loss of data, content corruption, downtime, or other adverse effects arising from the use or misuse of the Software. It is your sole responsibility to review, validate, and back up your data prior to executing any operations using the Software. Use of the Software is at your own risk.
9. Governing Law
   This Agreement is governed by the laws of The Commonwealth of Massachusetts, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of The Commonwealth of Massachusetts.

11. Changes to This Agreement
    Ellavation Labs may update this Agreement from time to time. Any changes will be effective upon posting the revised Agreement. Continued use of the Software constitutes acceptance of those changes.
